Terms of Service

Plain-English summary

Use SOptim responsibly. Cancel any time through Shopify. We grandfather your price — if you're paying $19/month and we raise prices, you keep $19/month. The Service is provided "as is" without warranties. Disputes go to Singapore arbitration. Limitation of liability caps damages at what you paid us in the prior 12 months, or $100, whichever is greater.

1. Acceptance of terms

By installing the SOptim app on your Shopify store or accessing soptim.app (collectively, the "Service"), you ("Merchant," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Service.

These Terms form a binding agreement between you and SOptim ("SOptim," "we," "us," "our").

2. Service description

SOptim provides Shopify merchants with:

  • Automated store health audits (speed, app costs, bot risk indicators)
  • Bot detection and blocking tools ("Bot Shield")
  • Cost optimization insights
  • Cross-shop threat intelligence (paid plans)
  • Dispute evidence packs (Max plan only)

The specific features available depend on your subscription plan.

3. Eligibility

You must:

  • Operate a Shopify store in good standing
  • Be at least 18 years old or have legal capacity in your jurisdiction
  • Comply with Shopify's Terms of Service
  • Provide accurate information when installing or registering

We may refuse service to anyone for any lawful reason.

4. Subscription plans and billing

4.1 Plans

SOptim offers Free, Grow, Scale, and Max plans. Current pricing and features are at soptim.app/pricing and may be updated periodically.

4.2 Price grandfathering

If you subscribe to a paid plan and we later raise prices for that plan, your subscription will continue at the original price and feature set as long as your subscription remains active. New subscribers will see new pricing. This guarantee does not apply if you change plans, cancel and resubscribe, or after material restructuring of plans (in which case we will notify you 30 days in advance).

4.3 Billing

All paid plans are billed monthly or annually through Shopify's billing system. Charges appear on your Shopify invoice. You authorize Shopify to charge you on our behalf.

4.4 Trial periods

Grow plan: 7-day free trial. Scale and Max: 14-day free trial. After trial, paid subscription begins automatically unless cancelled.

4.5 Cancellation

You may cancel at any time from the app settings or by uninstalling the app. Access continues through the end of the current billing period. No prorated refunds.

4.6 Refunds

We do not provide refunds for partial billing periods, as Shopify's billing system does not support this. You may dispute charges with Shopify per their refund policy.

4.7 Price changes

For changes affecting your existing subscription, we will provide at least 30 days' written notice via email and in-app notification. You may cancel before the change takes effect if you do not agree.

5. Use of the Service

5.1 You agree NOT to:

  • Use the Service for any unlawful purpose
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, sublicense, or redistribute the Service without our written permission
  • Attempt to gain unauthorized access to our systems or other merchants' data
  • Use the Service to harass, defame, or harm others
  • Interfere with the Service's operation (e.g. DDoS, scraping our API beyond rate limits)
  • Misrepresent your identity or affiliation
  • Use the Service to engage in fraud, money laundering, or other illegal activities

5.2 Acceptable use

The Service is provided for the legitimate operation of your Shopify store. Bot Shield is designed to block automated bots and fraudulent activity, not to discriminate against real customers based on protected characteristics. You are responsible for configuring blocking rules in compliance with anti-discrimination laws.

6. Intellectual property

6.1 Our IP

SOptim, the SOptim logo, and the Service are owned by SOptim and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable license to use the Service while your subscription is active.

6.2 Your data

You retain all rights to your store data, customer data, and content. You grant us a limited license to process your data solely to provide the Service, as detailed in our Privacy Policy and DPA.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation.

6.4 Aggregate research publishing

By using the Service, you grant SOptim a non-exclusive, royalty-free license to use your shop's anonymized aggregate data for research, benchmarking, and educational content publishing. This license:

  • Applies ONLY to aggregated data (10+ shops combined statistics)
  • Does NOT include identifying information (shop name, URL, customer data)
  • Survives termination of your subscription (already-aggregated data remains)
  • May be revoked for future aggregation via opt-out in Settings

7. Third-party services

The Service integrates with Shopify and may integrate with other third-party services. We are not responsible for third-party services. Your use of them is governed by their own terms.

7.1 Recommendations and affiliate links

SOptim may surface third-party app, theme, and service recommendations within the Service. Such recommendations:

  • Are personalized based on your store's data (size, category, app stack, performance metrics)
  • May include affiliate links from which SOptim earns commission when merchants subscribe
  • Are clearly labeled where applicable
  • Are NOT paid advertisements or sponsored placements unless explicitly disclosed as such
  • May be dismissed individually or disabled globally in Settings

SOptim's recommendation engine prioritizes merchant value over commission opportunity. Recommendations remain editorially independent.

8. Availability and support

8.1 Uptime

We target 99.9% monthly uptime but do not guarantee uninterrupted service. Maintenance, third-party outages, or force majeure events may cause downtime.

8.2 Support

Support is provided via email at [email protected].

  • Free plan: best-effort, typical response 3–5 business days
  • Grow / Scale: response within 2 business days
  • Max: priority response within 1 business day

8.3 No SLA

We do not currently offer formal Service Level Agreements with uptime guarantees or service credits. This may change for enterprise plans in the future.

9. Data processing

Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement (DPA). The DPA forms part of these Terms for merchants subject to GDPR or similar regulations.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

We do NOT warrant that:

  • The Service will detect 100% of bots or fraudulent activity
  • Audit recommendations will increase your revenue or conversion
  • Cost savings estimates are guaranteed accurate (estimates only)
  • Bot Shield will prevent all chargebacks or disputes
  • The Service will be free from errors, bugs, or vulnerabilities

You use the Service at your own risk.

11. Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunity.
  • Our total cumulative liability arising from or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
  • These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless SOptim and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of applicable law
  • Your infringement of any third-party rights
  • Disputes with your customers regarding bots blocked or orders cancelled by Bot Shield based on your configuration

13. Termination

13.1 By you

Uninstall the app from your Shopify Admin at any time. Your subscription will end at the close of the current billing period.

13.2 By us

We may suspend or terminate your access if you violate these Terms, fail to pay, or if required by law. We will provide notice when feasible.

13.3 Effect of termination

Upon termination:

  • Your access to the Service ends
  • We will delete your data per our Privacy Policy and DPA (within 48 hours for shop data, 30 days for full purge)
  • Provisions that by their nature should survive termination will survive (e.g. IP, limitation of liability, governing law)

14. Changes to Terms

We may modify these Terms. Material changes will be notified at least 30 days in advance via email and in-app notice. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

15.1 Governing law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

15.2 Disputes

Any dispute arising from these Terms or the Service will be resolved through binding arbitration in Singapore, except either party may seek injunctive relief in court to prevent unauthorized use or IP infringement.

15.3 Class action waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action or class arbitration.

15.4 EU consumers exception

If you are a consumer in the EU, the above arbitration and class action provisions do not apply to mandatory consumer rights, and you may bring claims in the courts of your country of residence.

16. Miscellaneous

16.1 Entire agreement

These Terms, together with our Privacy Policy and DPA, constitute the entire agreement between you and us regarding the Service.

16.2 Severability

If any provision is found unenforceable, the rest remain in effect.

16.3 No waiver

Failure to enforce any provision does not waive our right to enforce it later.

16.4 Assignment

You may not assign these Terms without our consent. We may assign to a successor in a merger, acquisition, or sale of assets.

16.5 Notices

Legal notices to us: [email protected] or SOptim, Singapore. Notices to you: via email associated with your Shopify store or in-app notification.

16.6 Force majeure

Neither party is liable for delays caused by events beyond reasonable control (natural disasters, war, pandemics, government action, network outages).

18. Affiliate Program

18.1 Eligibility

Participation requires an active SOptim subscription. New accounts are subject to a 30-day holding period before withdrawal eligibility.

18.2 Commission Structure

Affiliates earn 30% of referred merchants' monthly payments for 12 consecutive months from the date the referred merchant activates a paid plan. Commission accrues only after the referred merchant maintains a paid subscription for at least 7 consecutive days.

18.3 Minimum Withdrawal Threshold

The minimum balance to request a payout is $20.00 USD. Balances below $20 roll over to the following month and do not expire while the affiliate maintains an active SOptim subscription.

18.4 Transaction Fees — Affiliate Responsibility

Transaction fees are deducted from the affiliate's balance and are the sole responsibility of the affiliate. SOptim does not cover these fees.

  • PayPal: 2.9% of payout + $0.30 USD per transaction
  • Wise: variable by currency and destination country
  • SOptim account credit: 0% fee

Example: A $20.00 PayPal payout results in approximately $19.12 received.

18.5 Payout Schedule

Payouts are processed monthly, within 10 business days of month end. Payout method must be configured before the processing date.

18.6 Tax Responsibility

Affiliates are solely responsible for reporting and paying taxes on affiliate income in their jurisdiction. SOptim does not issue tax documents for affiliate earnings.

18.7 Prohibited Activities

Self-referrals and referrals from related accounts are prohibited. Violation results in immediate suspension and forfeiture of earned balances.

18.8 Program Modification

SOptim may modify commission rates or terminate the program with 30 days notice. Earned balances at termination will be paid per standard schedule.
